Fancy a Drink (FAD)

These terms apply between A.Y.V. Hubers Beheer B.V. (the company behind Fancy a Drink) and the hospitality business that signs up as a partner bar. They describe what FAD offers you, what you can expect from us and the arrangements for the free-drink voucher. This is a business-to-business agreement.

1. Parties and scope

These terms apply between A.Y.V. Hubers Beheer B.V., with offices at Laan op Zuid 188, 3071 AA Rotterdam, the Netherlands, registered with the Chamber of Commerce under number 24425152 ("FAD", "we" or "us"), and the hospitality business that signs up through the partner portal ("the partner bar" or "you").

You accept these terms by ticking the box provided for that purpose when signing up in the partner portal. The sign-up cannot be completed without that acceptance. We record which version of these terms was accepted and when. These terms are published at legal.fancyadrink.app/barvoorwaarden-en, where you can save and print them.

The person completing the sign-up declares that they are authorised to bind the partner bar. No general terms and conditions of the partner bar apply to this agreement unless agreed otherwise in writing.

2. What FAD offers the partner bar

FAD is an app that lets people get to know each other and meet in person at an affiliated bar. As a partner bar you appear in the app, receive guests who arrange to meet through FAD, and get access to a dashboard with visit figures. Participation is free of charge (see section 5). FAD does not guarantee any particular number of visitors; the inflow depends on activity in your area.

3. Sign-up and verification

Sign-up takes place through the partner portal. We check the Chamber of Commerce number you provide against the Trade Register and use Google's Places service to find the public business listing of your venue. To establish that you represent the venue, we send a six-digit code to the email address shown in that public listing. If the listing shows no email address, please contact partners@fancyadrink.app; we will then establish in another way that you represent the venue before it goes live.

When signing up you also provide a login address. You log in to the portal through a link we send to that address. Keep access to that address to yourself; actions taken through your account count as actions of the partner bar.

After these steps your venue goes live automatically. You warrant that the information you provide is correct and up to date.

4. Honouring the voucher

This is the core of the partnership.

When two guests matched through FAD are present at your venue, one of them shows a voucher screen on their phone. It shows the photos of both guests, the name of their membership tier, a clock counting down ten minutes and the current time. Your staff visually check that the two people on the screen are present and that the clock is still running, and then remove the cheapest drink from the bill, up to the maximum amount you have set. No app, QR scan or system action is needed; it works like any other voucher.

In the dashboard you set:

One free drink is provided per meeting.

By joining, you undertake to honour a valid voucher shown while the clock is still running, and to bear the free drink up to the maximum amount you have set. You need not honour a voucher whose clock has run out, or where the people on the screen are not present. The free drink is a deliberate marketing investment: it costs one drink but usually opens a second, paid round from which you earn. FAD does not reimburse this drink.

5. Costs and business model

Joining and participating are free of charge and will remain so. No payment takes place between FAD and the partner bar: you do not pay us to participate and we do not reimburse you for drinks. At this stage FAD earns from user memberships, not from the bar side. We reserve the option of a paid promotion for bars in the future; it would be offered and agreed separately in advance, never tacitly.

6. VIP arrangement (optional)

In the portal you can indicate which VIP features you offer to the highest tiers (for example priority, a reserved table, welcome drinks, valet parking or personal service). What you tick is shown with your venue in the app as a distinguishing feature. This arrangement is offered and paid for entirely by you as part of your own hospitality; FAD promises and reimburses nothing in this respect. For a VIP visit announced in advance you may choose to be more generous (for example two welcome drinks); that too is your own offer, not an obligation from FAD.

7. Display in the app and your own texts

FAD may show the public name, address and location of your venue in the app, so that users can find you and meet there. In the portal you indicate your segment yourself (regular, nightlife or luxury) and can add your own promotional text, VIP features and a note. The price level at which your venue is shown in the app is set by FAD.

In the app, partner bars are shown in order of distance from the member's position, nearest first; at equal distance, in alphabetical order of name. At most one hundred venues are shown at a time. Which venues appear depends on the radius and any search term the member chooses, and on whether your venue is active and has not reached its monthly cap. Segment, price level, VIP features, visit numbers and the date of joining play no role in the order, and a better position cannot be bought. Your position therefore depends only on your venue's address and, at equal distance, its name.

You are responsible for the accuracy and lawfulness of what you provide, including compliance with the Dutch Alcohol Act and municipal rules on price promotions. If you present your venue above its level, you will get disappointed guests and miss the right audience. FAD may decline to show or remove a text of yours if it is misleading, unlawful or contrary to these terms; we will tell you, with the reason.

8. Data and privacy

FAD processes the business and contact details of your venue and of the person completing the sign-up (such as the Chamber of Commerce number, address, the email address from the public listing and the login address) as controller, to enable joining, logging in and display in the app. We also record which version of these terms was accepted, by which account and when; we keep that record for as long as you participate and for five years afterwards. You receive no personal data of users from us: the dashboard shows only visit numbers and, per visitor, the tier (for example Gold), never a name, profile or identity. When honouring a voucher, your staff only briefly see the voucher screen on the guest's phone; you record nothing of it. You therefore do not process any personal data of FAD users on our behalf.

The partner bar and its staff are expressly prohibited from taking screenshots, photos or any other recording of the guest's voucher screen or of the personal data shown on it. You report irregularities or misuse exclusively via partners@fancyadrink.app, without any personal data that could identify the guest.

Should a supervisory authority or applicable law nevertheless find that you act as a processor with respect to certain data, the data processing annex that FAD provides on first request applies from that moment and becomes an integral part of these terms.

9. Obligations and warranties of the partner bar

10. Pausing, stopping, reports and suspension

You can pause your participation in the dashboard and lift that pause yourself. You can also stop your participation; stopping is final. You cannot reinstate a stopped venue yourself: that is only possible via partners@fancyadrink.app or by signing up again.

Users can report in the app that your venue is closed. Such a report is anonymous towards you and does not automatically remove your venue from the app; it is a signal to us. In the event of repeated, specific reports, a breach of these terms, or legal or safety issues, FAD may temporarily suspend your venue's participation. We will inform you immediately by email or through the portal, with the reason. You can respond via partners@fancyadrink.app; we will assess your response as soon as possible. Only FAD can lift a suspension. A temporary suspension taken in good faith does not give rise to any right to compensation.

From the moment of a pause, stop or suspension:

11. Liability

FAD gives no guarantee of any particular number of visitors or of any commercial result and is not liable for your business operations or for lost revenue. To the extent permitted by law, FAD's total liability towards you is limited, and FAD is not liable for indirect or consequential loss. You indemnify FAD against third-party claims, including from guests and supervisory authorities, arising from your business operations, your serving of alcohol or the absence of required licences. Liability for intent or wilful recklessness and any other liability that cannot be excluded by mandatory law remains unaffected.

12. Intellectual property and use of names

The name Fancy a Drink, the logo and the brand elements are owned by A.Y.V. Hubers Beheer B.V. You may state that you are an FAD partner bar, in a correct and non-misleading way. FAD in turn may use your public name and logo for display in the app and, by agreement, to promote the partner network. Both parties respect each other's trademark rights.

13. Term and termination

The partnership is for an indefinite period. You can end your participation at any time by stopping in the dashboard (see section 10).

FAD can end your participation with thirty days' notice; we will tell you the reason by email. Without notice, this is possible if you repeatedly breach these terms, for example by not honouring valid vouchers or presenting yourself misleadingly, if a legal obligation requires it, or if there is a serious legal or safety issue; in that case too we will give the reason.

On termination the same applies as on a stop: confirmed meetings lapse, no new vouchers are activated, and a voucher that was already activated must still be honoured.

14. Changes to these terms

We may amend these terms, for example if the service or the law changes. We announce a change at least fifteen days before it takes effect, through the portal or by email, unless a legal obligation or a serious safety issue requires a faster change. You can stop before the effective date. If you continue to participate after a change takes effect, the amended version applies.

15. Governing law and competent court

These terms are governed by Dutch law. The competent court is the District Court of Rotterdam. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. This agreement concerns a relationship between businesses; consumer protection provisions do not apply.
